These terms govern your use of the website at knightcto.com, the materials posted on it (including downloadable resources), and any preliminary correspondence you have with Knight CTO before signing an engagement letter. Once you sign an engagement letter, the engagement letter (and any non-disclosure agreement) governs the work; these terms continue to apply only to general use of the site.

The website and all content are operated by Boris Knight, doing business as Knight CTO, Walnut Creek, California. References to "I" or "Knight CTO" in these terms mean Boris Knight personally. There is no team and no separate corporate entity unless explicitly identified in writing.
003 // CONSULTING SERVICESWhat I am — and am not
Knight CTO is a technology consulting practice serving law firms. Knight CTO is not a law firm. Boris Knight is not an attorney and does not practice law. Nothing on this website, in downloadable resources, in correspondence, or in a consulting engagement constitutes legal advice, even when the subject matter touches on legal-ethics rules such as ABA Model Rule 1.6 or California Rule of Professional Conduct 1.6.
Materials that summarize or reference legal-ethics rules, case decisions, or regulatory frameworks are provided for educational and operational purposes only. Engaging Knight CTO does not establish an attorney-client relationship with any party. Firms engaging Knight CTO remain responsible for their own legal and ethical compliance.
004 // RESOURCESDownloadable materials
Knight CTO publishes downloadable resources on this site, including policy templates and vendor-evaluation checklists. These resources are offered free of charge under the following terms:
- Permitted use: any law firm or legal professional may download, customize, and use these resources internally and may share them with colleagues. They are intended for adoption.
- No warranty: the resources are provided as-is. They are starting points, not finished policies. Firms must review, customize, and have qualified counsel approve them before use.
- Authorities cited: citations to court orders, bar association opinions, sanctions decisions, and vendor terms of service were accurate as of the publication date noted on each document. Authorities evolve. Confirm currency before relying on any specific citation.
- Attribution: derivative works built directly on a Knight CTO resource should retain the publication footer or note the source.
- Restrictions: resources may not be repackaged or resold as standalone products.
005 // ENGAGEMENTSConsulting engagements
Any consulting engagement requires a written engagement letter signed by both parties. Information shared by you before that letter is signed (including in intake calls and submitted forms) is treated as confidential per the Privacy Policy, but no formal NDA exists until the engagement letter is signed. If you need an NDA before any discussion, request one before sharing matter-specific information.
Engagement-letter terms supersede these terms with respect to the work they cover. Standard scope includes: defined deliverables, payment terms, confidentiality obligations, ownership of deliverables (firm owns everything), and termination procedures.

Site content — copy, layout, design, downloadable resources, and code — is © 2026 Boris Knight unless otherwise noted. The downloadable resources are licensed broadly per section 004 above. Other content is not licensed for republication or commercial reuse without written permission.
007 // NO WARRANTIESAs-is
The website, any information on it, and any downloadable resources are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. The site may be unavailable, contain errors, or be updated without notice.
008 // LIMITATION OF LIABILITYLiability
To the fullest extent permitted by law, Boris Knight and Knight CTO are not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the website or downloadable resources. For paid engagements, liability is governed by the engagement letter, and absent specific terms is limited to fees paid in the preceding twelve months.
009 // GOVERNING LAWGoverning law and venue
These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising from these terms or use of the site must be brought in the state or federal courts located in Contra Costa County, California, and you consent to that venue.

These terms may be updated. Material changes will be posted on this page with a new effective date. Continued use of the site after a change constitutes acceptance of the updated terms.
